Terms of service

This English translation is provided for convenience. If the versions differ, the Finnish version prevails.
These terms of service apply to the Umasvoice service, which is provided by Umas Oy (Business ID 3604932-4). The service is offered to business customers only (B2B).
1. Term of the agreement
The agreement is valid until further notice and it may be terminated at any time in writing with 1 month of notice. Termination takes effect at the end of the calendar month.
2. Invoicing and payment terms
- The service is offered to business customers only (B2B). Prices are stated excluding VAT. The value added tax in force (25.5 % in Finland) is added to the invoice.
- The monthly fee is invoiced in advance per calendar month or per year (−10 %).
- Payment term 14 days from the date of the invoice.
- Interest on late payment in accordance with section 4 of the Korkolaki (Finnish Interest Act, 633/1982), that is the reference rate plus 8 percentage points.
3. Service level and disruptions
We target 99.5 % availability per month, excluding maintenance windows announced in advance. Availability is calculated as the proportion of the total time of the calendar month during which the service is available to callers. If monthly availability falls below 99.5 %, the customer is entitled to a refund of the monthly fee in proportion to the shortfall. The details of the credit procedure are recorded in the subscription agreement to be signed and in the DPA. This credit is the sole remedy of the customer for service outages. Mandatory legislation, such as the Kuluttajansuojalaki (Finnish Consumer Protection Act) where it is applicable, overrides these terms.
4. Responsibilities of the customer
- Gives correct information for the training of the service (services, prices, opening hours).
- Manages the call forwarding of its own telephone number through its operator.
- AI notice (EU AI Act Art. 50): Umasvoice states at the start of every call that the caller is speaking with an AI assistant. The customer undertakes not to remove or block this notice. The obligation applies to every call, not only to the first contact.
- Does not use the service for unlawful purposes (for example marketing calls without consent).
5. Responsibilities of Umas Oy and limitation of liability
- Provides the service in accordance with these terms of service.
- Builds the call flow of the AI from the information supplied by the customer (services, prices, opening hours, escalation rules).
- Protects personal data in accordance with the GDPR (see security and the DPA).
- Gives notice of material changes to the service 30 days in advance.
Limitation of liability: the total liability of Umas Oy to the customer for all claims relating to the service is limited to the service fees paid by the customer during the last 12 months. Umas Oy is not liable for indirect damage, loss of revenue, loss of data or claims by third parties, unless mandatory legislation requires otherwise. Force majeure releases a party from liability.
6. Personal data and the data processing agreement (DPA)
Umasvoice processes personal data on behalf of the customer company (the telephone numbers and names of callers, the content of speech). A separate data processing agreement (DPA) under Art. 28 GDPR is signed with every customer as part of the subscription agreement. 7. Applicable law and dispute resolution
The agreement is governed by Finnish law. Disputes are resolved primarily by negotiation. If the negotiations cannot be concluded, disputes are heard in Espoon käräjäoikeus (the District Court of Espoo).
